03Client Responsibilities

As a client of Outbound XS, you agree to:

• — Grant necessary access to platforms, accounts, and tools required for service delivery
• — Respond to requests for feedback and approvals in a timely manner
• — Ensure your products, services, and business practices are lawful
• — Comply with all applicable laws regarding marketing and data protection
• — Not use our services for spam, fraud, or any illegal activities

04Compliance & Legal Requirements

Our services are designed to comply with applicable laws and regulations, including:

• — CAN-SPAM Act: All email campaigns include proper opt-out mechanisms and sender identification
• — GDPR: We implement appropriate consent mechanisms for EU contacts
• — CCPA: We respect California consumer privacy rights
• — LinkedIn Terms: Automation activities comply with LinkedIn's user agreements

You are responsible for ensuring that your use of our services complies with all laws applicable to your business and jurisdiction.

05Lead Ownership & Data

Regarding leads and data generated through our services:

• — All leads generated for you are your exclusive property
• — We will not sell, share, or provide your leads to competitors or third parties
• — Lead data will be delivered in agreed-upon formats and timelines
• — We maintain confidentiality of all client data and business information

06No Guarantee of Results

While we strive to deliver high-quality leads and effective campaigns, we cannot guarantee specific results such as response rates, conversion rates, or sales outcomes. Marketing results depend on many factors outside our control, including your offer, pricing, sales process, and market conditions. Past performance metrics shared on our website represent actual client results but are not guaranteed for future campaigns.

07Payment Terms

Payment terms will be outlined in your service agreement:

• — Payments are due according to the schedule specified in your agreement
• — Late payments may result in service suspension or termination
• — All fees are non-refundable unless otherwise specified in your agreement
• — We reserve the right to modify pricing with advance notice

08Intellectual Property

All content, strategies, templates, and materials created by Outbound XS remain our intellectual property unless otherwise agreed in writing. Clients receive a license to use deliverables for their business purposes. We may use anonymized results and case studies for marketing purposes unless you opt out in writing.

09Confidentiality

Both parties agree to keep confidential any proprietary information, business strategies, client lists, pricing, and trade secrets disclosed during the engagement. This obligation survives termination of the service agreement.

10Limitation of Liability

To the maximum extent permitted by law, Outbound XS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data. Our total liability shall not exceed the fees paid by you in the three (3) months preceding the claim. We are not responsible for actions taken by your sales team or the conversion of leads into customers.

11Indemnification

You agree to indemnify and hold harmless Outbound XS, its officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, your violation of these terms, or your violation of any third-party rights.

12Termination

Either party may terminate the service agreement:

• — With written notice as specified in your service agreement
• — Immediately if the other party breaches material terms
• — Upon mutual written agreement

Upon termination, you will receive all leads generated up to the termination date, and any outstanding payments become immediately due.

13Modifications to Terms

We reserve the right to modify these Terms of Service at any time. We will provide notice of material changes by posting the updated terms on our website. Your continued use of our services after such modifications constitutes acceptance of the updated terms.

14Governing Law

These Terms of Service shall be governed by and construed in accordance with applicable laws. Any disputes arising from these terms or our services shall be resolved through good-faith negotiation, and if necessary, binding arbitration.

16Severability
